Terms & Conditions

1. Scope of Services

LeadGen IT Solutions Pvt Ltd ("Company", "We", "Us") provides custom software engineering, web application development, mobile app development, artificial intelligence modeling, cloud infrastructure architecture, UI/UX design, and digital marketing consulting services. The specific deliverables, milestones, and fees are defined in individual Statements of Work (SOWs).

2. Intellectual Property (IP) Ownership

Upon full settlement of milestone invoices, 100% of all intellectual property, proprietary source code, database architectures, graphics, and documentation created specifically for the Client shall belong exclusively to the Client. The Company retains no ownership rights over custom client codebases.

3. Confidentiality & Non-Disclosure

Both parties agree to protect and treat all trade secrets, financial records, customer lists, architecture diagrams, and source code as strictly confidential. Neither party shall disclose such proprietary information without prior written consent.

4. Warranty & Post-Launch Support

We provide a 90-day complimentary bug-fix warranty on all custom code starting from the date of production launch. This warranty covers the remediation of any functional discrepancies from the agreed-upon technical specification document.

5. Payment Terms & Milestone Invoicing

Payment schedules are structured based on agreed milestone completions (e.g., Sprint Sign-Offs, Beta Delivery, Production Deployment). Invoices are payable within 14 calendar days of issuance via bank wire, ACH, or approved corporate payment methods in INR or USD.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, punitive, or consequential damages resulting from platform downtime, third-party cloud outages, or cyber attacks beyond our reasonable control. Our total aggregate liability under any SOW is limited to the fees paid by the Client in the preceding 3 months.

7. Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
